TERMS AND CONDITIONS 1. Acceptance of Terms By accessing or using the ResumeIQ platform, website, and related services (collectively, the "Service"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, you must not access or use the Service. Your continued use of the Service following any modification to these Terms constitutes your acceptance of those changes. These Terms constitute a legally binding agreement between you and Akitech Pty Ltd (ABN: 57 138 713 710) (trading as ResumeIQ) ("ResumeIQ," "we," "us," or "our"), a company incorporated under the laws of Australia. 2. Description of Service ResumeIQ is an AI-powered, subscription-based software-as-a-service (SaaS) platform that analyses, evaluates, and tailors resumes against job descriptions using artificial intelligence and machine learning pipelines. The Service provides scoring, structured feedback, and tailored resume generation to assist job seekers in improving their employment applications. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. ResumeIQ does not guarantee employment outcomes, interview invitations, or job placement as a result of using the Service. AI-generated assessments and suggestions are informational only and do not constitute career, legal, or professional advice. 3. User Accounts and Registration 3.1 Eligibility The Service is intended solely for users who are 18 years of age or older. By registering for an account, you represent and warrant that you are at least 18 years old. If you are under 18, you must not register or use the Service. ResumeIQ reserves the right to terminate any account we believe is held by a person under 18. 3.2 Account Registration To access certain features of the Service, you must register and create an account. You agree to: • Provide accurate, current, and complete information during registration. • Maintain and promptly update your account information to keep it accurate and complete. • Keep your login credentials confidential and not share them with any third party; • Notify us immediately at support@resumeiq.com.au of any unauthorised use of your account. • Accept responsibility for all activities that occur under your account. ResumeIQ reserves the right to refuse registration, terminate accounts, or remove content at our sole discretion. 4. Subscription and Payment Terms 4.1 Subscription Plans ResumeIQ offers tiered subscription plans, details of which are published on our pricing page. Features and access levels vary by plan. ResumeIQ reserves the right to modify, add, or remove plans at any time with reasonable notice. 4.2 Billing and Payment Subscription fees are billed on a recurring basis (monthly or annual, depending on your selected plan). All payments are processed securely by our third-party payment processor (currently Stripe, Inc. or a comparable provider). By providing payment details, you: • Authorise us to charge your nominated payment method for the applicable subscription fee on each billing cycle; • Represent that you are authorised to use the payment method provided; • Agree to keep your payment information current and accurate. All fees are stated in Australian Dollars (AUD) unless otherwise specified. Fees are exclusive of GST and any other applicable taxes, which will be added at checkout where required by law. 4.3 Automatic Renewal Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date. You will be charged the then-current subscription fee unless you cancel before the renewal date. 4.4 Refund Policy Except as required by the Australian Consumer Law (ACL) or otherwise expressly stated, all subscription fees are non-refundable. If you believe you are entitled to a refund under applicable Australian consumer guarantees, contact us at support@resumeiq.com.au. ResumeIQ will consider refund requests on a case-by-case basis in accordance with its obligations under the ACL. 4.5 Cancellation You may cancel your subscription at any time through your account settings or by contacting support@resumeiq.com.au. Cancellation takes effect at the end of the current billing period. Upon cancellation, you retain access to the Service until the end of the paid period, after which your account will revert to a free tier (if available) or be deactivated. 4.6 Price Changes ResumeIQ may modify subscription pricing with at least 30 days' written notice. Your continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing. 5. User Responsibilities and Acceptable Use Policy 5.1 Permitted Use The Service is licensed, not sold, to you for personal, non-commercial use in connection with your own job search and career development activities, unless expressly authorised otherwise in writing by ResumeIQ. 5.2 Prohibited Conduct You agree not to: • Submit false, misleading, or fabricated personal information or resume content; • Use the Service to create fraudulent or deceptive job applications; • Reproduce, distribute, resell, or commercially exploit any part of the Service without prior written consent; • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service; • Introduce malicious code, viruses, bots, or automated scraping tools to the Service; • Circumvent, disable, or interfere with security-related features of the Service; • Use the Service in violation of any applicable Australian or international law; • Impersonate any person or entity or misrepresent your affiliation with any person or entity; • Harvest or collect user data without authorisation; • Use the Service to generate content intended to deceive potential employers or third parties. Violation of this Acceptable Use Policy may result in immediate account suspension or termination, at ResumeIQ's sole discretion, without refund. 6. Intellectual Property Rights 6.1 Company IP The Service, including its AI models, algorithms, software, user interface, branding, trademarks, and all related technology and content developed or owned by ResumeIQ, is protected by Australian and international intellectual property laws. All rights, title, and interest in and to the Service are and remain the exclusive property of ResumeIQ. 6.2 User Content You retain ownership of all resume content, documents, and personal information you submit to the Service ("User Content"). By submitting User Content, you grant ResumeIQ a limited, non-exclusive, royalty-free, worldwide licence to use, process, store, and analyse your User Content solely for the purpose of providing and improving the Service, subject to our Privacy Policy. You represent and warrant that you own or have the necessary rights to submit all User Content and that it does not infringe the intellectual property or other rights of any third party. 6.3 Feedback Any feedback, suggestions, or ideas you provide to ResumeIQ regarding the Service may be used by ResumeIQ without restriction or compensation to you. 7. Disclaimer of Warranties TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE AUSTRALIAN LAW, RESUMEIQ PROVIDES THE SERVICE "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. RESUMEIQ SPECIFICALLY DISCLAIMS: • Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement; • Any warranty that the Service will be uninterrupted, timely, secure, or error-free; • Any warranty regarding the accuracy, reliability, completeness, or usefulness of AI-generated assessments, scores, or resume suggestions; • Any warranty that the Service will meet your specific requirements or expectations; • Any warranty that defects or errors will be corrected. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot be excluded under the Australian Consumer Law. 8. Data Security Disclaimer ResumeIQ takes the security of your personal information seriously and implements commercially reasonable technical and organisational security measures to protect your data from unauthorised access, disclosure, alteration, and destruction. HOWEVER, NO DATA TRANSMISSION OVER THE INTERNET OR ELECTRONIC STORAGE SYSTEM CAN BE GUARANTEED TO BE 100% SECURE. THE EVOLVING NATURE OF CYBER THREATS-INCLUDING SOPHISTICATED HACKING TOOLS, ZERO-DAY EXPLOITS, SOCIAL ENGINEERING ATTACKS, AND ADVANCED PERSISTENT THREATS-MEANS THAT ABSOLUTE SECURITY CANNOT BE ASSURED. BY USING THE SERVICE, YOU ACKNOWLEDGE AND ACCEPT THIS INHERENT RISK. In the event of a data breach that is likely to result in serious harm, ResumeIQ will comply with its notification obligations under the Privacy Act 1988 (Cth) and the Notifiable Data Breaches (NDB) scheme, including notifying the Office of the Australian Information Commissioner (OAIC) and affected individuals as required. 9. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: 1. RESUMEIQ AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE, EVEN IF RESUMEIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 2. RESUMEIQ'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO RESUMEIQ IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED AUSTRALIAN DOLLARS (AUD $100). Nothing in these Terms limits or excludes ResumeIQ's liability to the extent such limitation or exclusion is prohibited by the Australian Consumer Law or other non-excludable applicable law. Where liability cannot be excluded but can be limited, ResumeIQ's liability is limited to resupply of the relevant services. 10. Indemnification You agree to defend, indemnify, and hold harmless ResumeIQ and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: • Your violation of these Terms; • Your User Content; • Your use of the Service in violation of any applicable law or regulation; • Your infringement of any intellectual property or other right of any person or entity; • Any fraud, misrepresentation, or wilful misconduct by you. 11. Termination 11.1 Termination by You You may terminate your account at any time by cancelling your subscription and deleting your account through the account settings, or by contacting support@resumeiq.com.au. 11.2 Termination by ${COMPANY} ResumeIQ may suspend or terminate your account and access to the Service immediately, without prior notice or liability, if: • You breach any provision of these Terms; • We are required to do so by law or regulation; • Continued provision of the Service to you poses a legal, security, or reputational risk to ${COMPANY} or other users; • We decide to discontinue all or part of the Service, with reasonable notice where practicable. 11.3 Effect of Termination Upon termination, your right to access and use the Service ceases immediately. Sections 6 (Intellectual Property), 7 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 12 (Dispute Resolution), and 13 (Governing Law) survive termination. 12. Dispute Resolution and Arbitration 12.1 Good Faith Resolution Before initiating any formal legal proceeding, you agree to contact ResumeIQ at support@resumeiq.com.au and allow us a period of 30 days to attempt to resolve the dispute informally and in good faith. 12.2 Binding Arbitration If the dispute cannot be resolved informally, you and ResumeIQ agree that any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be submitted to binding arbitration administered by the Resolution Institute (or a mutually agreed arbitration body) in Sydney, New South Wales, Australia, in accordance with its applicable arbitration rules. The arbitrator's decision shall be final and binding on both parties. 12.3 Class Action Waiver TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO BRING CLAIMS AGAINST RESUMEIQ AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. ARBITRATION SHALL PROCEED ON AN INDIVIDUAL BASIS ONLY. 12.4 Exceptions Nothing in this section prevents either party from seeking urgent interlocutory or injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm. 13. Governing Law and Jurisdiction These Terms are governed by and construed in accordance with the laws of the Commonwealth of Australia and the State of New South Wales. To the extent court proceedings are permitted under Section 12, both parties submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia. 14. Modifications to Terms ResumeIQ reserves the right to modify these Terms at any time. We will notify you of material changes by: • Posting the updated Terms on our website with a revised effective date; • Sending an email notification to the address associated with your account; and/or • Displaying an in-app notification. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription. 15. Severability If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect. 16. Entire Agreement These Terms, together with our Privacy Policy and any other legal notices or agreements published by ResumeIQ on the Service, constitute the entire agreement between you and ResumeIQ with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties. 17.
